Kakao Holds Meeting with Retail Shareholders, Pledges to Enhance Shareholder Value by Maximizing Corporate Value
- Spin-off to strengthen business expertise and streamline decision-making for faster execution
- Sets 2030 growth targets of KRW 6 trillion in revenue for Kakao AI and KRW 10 trillion for Kakao X
- Reaffirms the plan to repurchase and cancel KRW 300 billion worth of its own shares, underscoring commitment to shareholder returns
[September 17, 2026] Kakao announced that it held an online meeting with retail shareholders on September 16 to share an overview of the planned spin-off, its rationale, and measures to enhance shareholder value.
The meeting was held to explain in detail the background and objectives of the spin-off Kakao announced on August 21 and to discuss the future vision and plans to enhance corporate value for Kakao AI and Kakao X.
Kakao identified two key reasons for the spin-off: securing the speed of execution required in the AI era and establishing an optimal capital allocation framework. The goal is to maximize management efficiency by separating businesses with different characteristics and at different stages of growth. After the spin-off, each company is expected to focus on its core growth priorities and deliver results more quickly, allowing the market to assess the value of each business more clearly and fairly.
Doyoung Kim, CEO-designate of Kakao X, said, “The purpose of this spin-off is to strengthen the expertise of each business unit, streamline decision-making, and maximize corporate value by efficiently allocating the resources held by each company. Ultimately, we aim to enhance shareholder value.”
Kakao also presented its mid- to long-term growth targets following the spin-off. The newly established Kakao AI aims to achieve annual revenue of KRW 6 trillion by 2030 by combining KakaoTalk with AI. Kakao X, the continuing company, plans to achieve a 13.3% compound annual growth rate in revenue from its major businesses through 2030 and lay the foundation for consolidated revenue to reach KRW 10 trillion or more.
Kakao also underscored its commitment to shareholder returns. Kakao AI will allocate 20–35% of its adjusted standalone free cash flow (FCF) as its baseline funding for shareholder returns. If FCF increases by 50% or more year over year, the company plans to raise the return ratio to as much as 40%, actively sharing the benefits of growth in its core business with shareholders.
Kakao X will allocate 30% of dividends received from its subsidiaries, calculated after tax, and 30% of investment gains, after deducting the cost of capital and taxes, toward shareholder returns. Kakao also reaffirmed its plan to use gains from the sale of its stake in Dunamu to fund the repurchase and cancellation of KRW 300 billion worth of its own shares, demonstrating its strong commitment to enhancing shareholder value.
Kakao stated, “This meeting provided an opportunity to explain the company’s transformation and future direction directly to our retail shareholders. We will continue to strengthen shareholder communication and do our utmost to ensure that the market fairly values our company.”
As of the end of June, Kakao’s largest shareholder and related parties held 24.1% of its common shares, while foreign investors held 26.7% and domestic institutions held 10.8%. Individuals and other corporations, excluding foreign investors and domestic institutions, held 38.2%.
